1. Introduction
This Master End User License Agreement ("EULA") governs your use of any software, plugin, course, framework, written material, template, or other licensed work made available by Abra AI LLC, a Delaware limited liability company ("Abra AI LLC," "we," "us," or "our").
This EULA is incorporated by reference into our Master Terms of Service, available at showtime.muddventures.com/legal/terms. Specific products may have additional license terms set forth in the applicable Product Addendum.
2. Definitions
"Licensed Materials" means any of the following, in whole or in part, made available through any Abra AI LLC product or service:
a. Software, plugins, scripts, code, configuration files, and applications, including the Showtime Skill Pack
b. Course videos, audio recordings, and transcripts
c. Written content, including modules, lessons, articles, frameworks, scripts, swipe files, and emails
d. Templates, including spreadsheets, documents, and design files
e. Workflows, automation builds, and supporting assets
f. AI prompts, instructions, and configurations developed by Abra AI LLC
g. Branding, trademarks, and proprietary methodologies
3. License Grant
Subject to your compliance with this EULA, the Master Terms of Service, and the applicable Product Addendum, Abra AI LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Materials solely for your personal use or for internal use within your own business.
This license is contingent on your active membership, subscription, or purchase entitlement to the relevant product. If your membership ends, your license terminates automatically, except as expressly provided in a Product Addendum (for example, the Showtime Skill Pack perpetual install license described in the Showtime Product Addendum).
4. License Restrictions
You may not:
a. Resell, redistribute, sublicense, share, lease, rent, or transfer the Licensed Materials or access to them, in whole or in part, to any third party
b. Post, publish, or make the Licensed Materials available on any public or private website, file-sharing platform, social network, or other distribution channel
c. Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software Licensed Materials, except where such restriction is prohibited by applicable law
d. Remove, alter, or obscure any copyright, trademark, or proprietary notice
e. Use the Licensed Materials to build, develop, or train any artificial intelligence model, machine learning system, or competing product or service without our prior written consent
f. Use the Licensed Materials to compete with Abra AI LLC or any of its products
g. Use the Licensed Materials in any unlawful manner or in violation of these Terms
5. User-Submitted Content
You retain ownership of content you submit, post, or share within Abra AI LLC products or communities ("User-Submitted Content"). By submitting User-Submitted Content, you grant Abra AI LLC a worldwide, non-exclusive, royalty-free, sublicensable, perpetual, irrevocable license to use, reproduce, distribute, modify, create derivative works of, publicly display, and publicly perform the User-Submitted Content for the purpose of operating, promoting, and improving Abra AI LLC products and services.
You represent and warrant that you have all rights necessary to grant this license and that your User-Submitted Content does not violate any third-party right or applicable law.
6. Feedback
If you provide suggestions, ideas, comments, or feedback about Abra AI LLC products or services ("Feedback"), you assign all right, title, and interest in the Feedback to Abra AI LLC. We may use Feedback for any purpose without compensation or attribution to you.
7. Termination
This EULA is effective until terminated. Your license terminates automatically if:
a. Your membership or subscription ends
b. You violate this EULA, the Master Terms of Service, or the applicable Product Addendum
c. Abra AI LLC provides written notice of termination
Upon termination, you must cease all use of the Licensed Materials and delete any copies in your possession or control, except as expressly permitted by a Product Addendum.
8. Disclaimers
The Licensed Materials are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.
9. Limitation of Liability
The Limitation of Liability provisions of Section 11 of the Master Terms of Service apply to this EULA and are incorporated by reference. Abra AI LLC's total liability under this EULA will not exceed the greater of the total fees you paid to Abra AI LLC in the three months preceding the claim or one hundred U.S. dollars ($100).
10. Governing Law and Dispute Resolution
This EULA is governed by the laws of the State of Arizona. Disputes are resolved through binding arbitration administered by the American Arbitration Association as described in Section 13 of the Master Terms of Service. Venue for any permitted court action is Maricopa County, Arizona.
