    Operator Council Product Addendum

    This Product Addendum supplements the Abra AI LLC Master Terms of Service, Master Privacy Policy, Master Refund Policy, and Master End User License Agreement, available at showtime.muddventures.com/legal/. In the event of a conflict between this Addendum and the Master documents, this Addendum controls for the Operator Council only.

    By joining the Operator Council, you agree to this Addendum and the Master documents. The contracting party for this product is Abra AI LLC.

    Section 1: Operator Council Refund Terms

    The Operator Council is a recurring monthly cohort priced at $600 per month.

    Refund window: 15 days from the date of initial purchase. This window applies only to the first month of membership.

    Refund amount: Full first month ($600). Subsequent months are not refundable.

    Engagement requirement (must complete both within 15 days):

    a. Attended at least 1 bi-weekly group meeting in full, or for a minimum of 45 minutes if you joined late or had to leave early

    b. Engaged at least twice in the private Telegram group with substantive messages. Substantive means messages or voice notes that contribute to discussion. Emoji-only reactions, single-word replies, "+1" comments, and similar minimal interactions do not satisfy this requirement.

    If you have not met both engagement requirements within the 15-day window, you are not eligible for a refund.

    Logic: The Operator Council's value is delivered through participation in meetings and the Telegram channel. A refund request from a member who did not attend a meeting and did not participate in Telegram indicates the product was not used as intended. The engagement requirement protects the cohort and the program against extraction and disengagement.

    After Month 1: No value-based refunds. Continued enrollment past the first month signals satisfaction with the product. You may cancel at any time through Whop. Cancellation ends future charges and access continues through the end of the current paid period.

    How to request a refund: Email team@muddventures.com with the subject line "Refund Request: Operator Council" within 15 days of initial purchase. Include the email used for purchase, date of purchase, the meeting you attended (date and approximate duration of attendance), and a brief description of your Telegram engagement. We will respond within 5 business days. Approved refunds are processed within 7 business days to the original payment method.

    Section 2: Cohort Terms

    Seat cap. The Operator Council is capped at 30 active members per cohort. If the cohort is full, new sign-ups may be placed on a waitlist.

    Bi-weekly group meetings. The Council meets every other week by video conference. The meeting day, time, and platform (Zoom or comparable) are communicated to active members. Meeting times may shift to accommodate cohort scheduling. Recordings are made available to members as described in Section 5.

    Private Telegram channel. Active members receive access to a private Telegram group used for ongoing discussion, questions, and resource sharing. Telegram access requires a Telegram account and is subject to Telegram's own terms and privacy policy.

    First access to new Abra tools. Operator Council members may receive early or first access to new Abra AI LLC tools, plugins, and skills before general release. Early access is subject to availability and is not guaranteed for any specific tool.

    Section 3: Auto-Renewal, Billing, and Cancellation

    Recurring charge. Membership in the Operator Council is billed at $600 per month and renews automatically every 30 days (or on the equivalent monthly anniversary cycle established by Whop) until you cancel.

    Cancellation. You may cancel at any time through your Whop account. Cancellation stops future charges. Your access to the Telegram group, group meetings, and member resources continues through the end of the current paid period. After the current period ends, your access is removed.

    Failed payments. If a renewal payment fails, we may suspend access until payment is successfully processed. If the failure is not resolved within 7 days, your membership may be terminated.

    Price changes. We may change the monthly price with at least 30 days' notice by email. Price changes apply at your next renewal after the notice period.

    Section 4: Telegram and Cohort Conduct

    The Acceptable Use rules in Section 6 of the Master Terms of Service apply to all interactions in the Operator Council, including the Telegram channel and group meetings. In addition:

    a. No harassment. You will not harass, threaten, demean, or discriminate against any other member, the Abra AI LLC team, or any guest of the Council.

    b. No recruitment for outside ventures. You will not use the Telegram channel, group meetings, or member contact information to recruit members into your own products, services, or ventures, or into any third party's products, services, or ventures.

    c. No poaching of Abra AI LLC clients. You will not solicit, recruit, or attempt to convert Abra AI LLC clients, customers, or contractors to a competing product or service.

    d. Removal without refund. Violation of this Section 4 is grounds for removal from the Operator Council without refund. Removal is at Abra AI LLC's sole discretion.

    Group meetings may be recorded for the cohort's reference and for internal coaching review and AI-assisted analysis.

    By attending a group meeting, you consent to:

    a. Audio and video recording of the meeting

    b. Transcription of the meeting

    c. Internal review of the recording and transcript by Abra AI LLC staff and contractors for coaching analysis, content review, and product improvement

    d. AI-assisted analysis of the recording and transcript using internal or third-party AI tools

    e. Sharing of the recording and transcript within the active cohort for member reference

    Recordings are not:

    a. Sold or licensed to third parties outside the cohort

    b. Posted publicly or in general marketing without prior written consent of identifiable participants

    c. Used to identify or quote individual members in external materials without consent

    Retention. Recordings and transcripts are retained for 12 months after the relevant cohort engagement ends, unless a longer retention period is required by law or for legitimate operational reasons. After the retention period, recordings are deleted.

    If you do not consent to recording, you should not attend the meeting. You may instead participate via the Telegram channel and review the post-meeting recap if one is provided.

    Section 6: Confidentiality

    Member-to-member confidentiality. Members agree not to share, disclose, or discuss outside the Operator Council the specific business details that other members share within the Council, including:

    a. Revenue numbers

    b. Specific client or prospect names and engagement specifics

    c. Specific strategies or tactics shared by another member as their own work

    d. Personal or financial details disclosed by a member

    Not confidential. The following are not confidential under this Section:

    a. Frameworks, methodologies, and content provided by Abra AI LLC

    b. Information that is publicly available or that was already known to the receiving member without obligation of confidentiality

    c. Information that a member voluntarily shares publicly outside the Council

    Term. The confidentiality obligations in this Section survive your departure from the Operator Council for a period of 2 years.

    Section 7: Anti-Poaching

    For so long as you are a member of the Operator Council and for 12 months after your membership ends, you agree not to:

    a. Recruit any other Operator Council member or any Abra AI LLC employee or contractor away from Abra AI LLC

    b. Solicit any Abra AI LLC client, customer, or active prospect for a product or service that competes with an Abra AI LLC offering

    This Section is intended to protect the cohort environment and Abra AI LLC's legitimate business interests. It is not intended to prevent ordinary professional collaboration or referrals that are unrelated to recruitment or solicitation against Abra AI LLC.
